Terms of Service

1. About ZUWAC

ZUWAC is a creator marketplace that connects brands and buyers with verified content creators for digital marketing, design, writing, and related services. ZUWAC is a product of Fexify.

These Terms of Service govern your use of the ZUWAC platform, including the website at zuwac.com and any associated mobile applications. By registering an account or using our services, you agree to be bound by these terms and our Privacy Policy.

2. Use of Platform

You must be at least 18 years old to create an account. By creating an account, you confirm that all information you provide is accurate and that you will keep it up to date.

• You are responsible for maintaining the security of your account credentials.
• You may not share your account with any other person or entity.
• You may not use the platform for any unlawful purpose or in violation of these terms.
• ZUWAC reserves the right to suspend or terminate accounts that violate these terms.

3. Creator Obligations

As a creator on ZUWAC, you agree to the following:

• Accurate representation — all follower counts, engagement metrics, and portfolio samples you display must be genuine and up to date.
• Timely delivery — you must deliver completed work within the timeframe specified in your gig package. Delays must be communicated promptly to the buyer.
• Original work — all deliverables must be your own original work unless you have the explicit right to use third-party content.
• Professional conduct — you must communicate respectfully with buyers and respond to messages within a reasonable time.
• Tax responsibility — you are solely responsible for declaring and paying any taxes applicable to your earnings from ZUWAC in your jurisdiction.

4. Business and Buyer Obligations

As a buyer or business using ZUWAC, you agree to the following:

• Honest briefs — you must provide clear, accurate, and complete briefs to creators. Deliberately misleading briefs that result in wasted creator work may result in non-refundable payments.
• Timely feedback — you must review deliverables and provide feedback or request revisions within the window specified in the order.
• Legitimate use — content you commission must not be used for deceptive advertising, illegal promotions, or any purpose prohibited by these terms.
• No circumvention — you may not solicit creators to transact outside of ZUWAC in order to avoid platform fees.

5. Payments and Commission

ZUWAC processes all payments through Stripe. When a buyer places an order, the full amount is charged immediately and held in escrow until the order is completed and approved.

• Platform commission — ZUWAC retains a 20% commission on every completed order. The creator receives 80% of the order value.
• Payout schedule — creator earnings are released after the buyer marks the order as complete or after the auto-complete window expires. Payouts are processed via Stripe Connect to the creator's linked bank account.
• Refunds — refunds may be issued at ZUWAC's discretion in cases where the creator fails to deliver, delivers work materially different from the agreed brief, or where a dispute is resolved in the buyer's favour.
• Disputes — if a buyer and creator cannot agree on whether delivery requirements have been met, either party may raise a formal dispute with ZUWAC support. ZUWAC's decision in dispute resolution is final.

6. Prohibited Content

The following types of content and services are strictly prohibited on ZUWAC:

• Adult, sexually explicit, or pornographic content of any kind.
• Content that promotes or facilitates violence, hate speech, or discrimination.
• Fake reviews, fake followers, or any form of artificial engagement manipulation.
• Promotion of illegal products, services, or substances.
• Copyright infringement or unauthorised use of third-party intellectual property.
• Malware, phishing, or any content designed to deceive or harm users.
• Content that violates any applicable law in Cameroon or the user's jurisdiction.

ZUWAC reserves the right to remove any content and suspend any account found to be in violation of these prohibitions without prior notice.

7. Account Termination

Either party may terminate the relationship at any time:

• By you — you may close your account at any time by contacting support. Outstanding orders must be resolved before closure. Any earned and unpaid creator balance will be paid out following normal payout timelines.
• By ZUWAC — we may suspend or permanently terminate your account for violations of these terms, fraudulent activity, chargebacks, or behaviour harmful to other users or the platform. Where possible, we will notify you before termination, but immediate action may be taken in serious cases.

Upon termination, your right to use the platform ceases immediately. Sections of these terms that by their nature survive termination (including payment obligations, prohibited content, and dispute resolution) will continue to apply.

8. Dispute Resolution

We encourage buyers and creators to resolve disagreements directly through the platform's messaging system before escalating. If a resolution cannot be reached:

• Either party may open a formal dispute by contacting support@zuwac.com with full details of the order and the issue.
• ZUWAC will review the evidence provided by both parties and issue a decision within 7 business days.
• ZUWAC's decision in all platform disputes is final and binding.
• Disputes that cannot be resolved through internal processes may be referred to mediation under Cameroonian law before any court proceedings are initiated.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Cameroon. Any legal action arising from or relating to these terms shall be brought exclusively before the competent courts of Cameroon, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

ZUWAC reserves the right to modify these Terms of Service at any time. When we make material changes, we will notify registered users by email and post a notice on the platform. Continued use of ZUWAC after the effective date of any changes constitutes your acceptance of the revised terms.
